Section 1 - Purpose of services

The customer is free to subscribe on the GreenRed website to the various dashboards offered by the company. These dashboards provide a connection to the customer's various tools and enable him to take stock of his website.

Article 2 - Subscription and pricing

By taking out a monthly subscription, the customer takes out a monthly subscription. Details of fees, payment methods and automatic renewals are available on the GreenRed website. The subscription price is set on the site.

GreenRed reserves the right to change this price, including on subscriptions already taken out. It will notify customers of the price change by email or any other means of communication of its choice within 90 days preceding the modification.

Customers will be free to cancel during the 90-day period; any subscription continued and not cancelled after this period will constitute tacit acceptance of the new tariff to be applied.

Article 3 - Duration and termination

The initial duration of the present contract is given at the time of subscription. Unless terminated by either party via the billing interface, it will be tacitly renewed for periods equal to the initial contract.

Cancellation will take effect at the end of the current billing period, and no refund will be made for a period that has already begun.

Any failure to make automatic payment will result in immediate suspension of the customer's codes and access to the platform until the situation is remedied, without this extending the end of the current service.

The customer is solely responsible for updating his means of payment on the control interface.

Article 4 - Intellectual property

The content of this website is protected by copyright and intellectual property rights. It is forbidden to copy, distribute, modify or reproduce this content without the written authorization of GreenRed.

Section 5 - Liability

GreenRed cannot be held liable for any direct or indirect loss or damage resulting from the use of the platform, the monthly subscription or the application of the advice or videos provided on the site.

The data collected and presented in the dashboards is personal and confidential. The customer is solely responsible for collecting and reading this data, and for any decisions taken in this respect for his website and business.

The customer is solely responsible for the data connected, the authorizations required to display them, and their final use. He releases GreenRed from any fraudulent use of the tool or the data and the consequences thereof.

GreenRed imposes a crawl limit on first 50,000 items found.

The fact that the Customer's site is down, inaccessible, under maintenance, redirected to a new URL, being redesigned or that the Customer has voluntarily cut off the various accesses to the GreenRed platform does not affect the performance of the service and consequently does not release the Customer from his obligation to pay, does not give any right to a reduction in the amount to be paid and does not extend the end of the contract.

Article 6 - Changes to the GTCS

GreenRed reserves the right to modify these terms and conditions at any time. Modifications will take effect as soon as they are published on the site.

Article 7 - Applicable law and disputes

The contract is governed by French law. In the absence of an amicable settlement, and concerning any dispute that may arise between the parties concerning the formation, interpretation or performance of the contract, the parties hereby assign jurisdiction to Paris Commercial Court which shall have sole jurisdiction to the fullest extent permitted by law, notwithstanding multiple defendants or warranty claims, even in the event of summary proceedings.

The customer assumes sole responsibility and shall not be entitled to any prejudice, reimbursement or justification for non-payment if data could not be collected during the service due to erroneous or inoperative codes or technical impossibilities on the customer's website, and shall not be entitled to any discount on the amount due or extension of the service.

Neither party will be held liable to the other for non-performance or delays in performance of an obligation under the contract, due to the occurrence of an event of force majeure, the responsibility of the other party or an exonerating cause such as: bad weather, epidemics, water damage, fire, blockage of means of transport or supply, acts of public authorities, interruption of electricity or telecommunications networks.

In such a case, the obligations arising under the contract will be suspended, provided that the requesting party informs the other party within a reasonable period of time three (3) working days of its occurrence. If such an event continues beyond a period of one month, the contract may be terminated by registered letter with acknowledgement of receipt, unless otherwise agreed between the parties.

Article 8 - Partial nullity

If any provision of the general terms and conditions of sale is declared null and void or without object, in particular by virtue of a law, regulation or judicial decision, it shall be deemed unwritten, but the other provisions of the general terms and conditions of sale shall nevertheless remain in force.

Article 9 - Tolerance

The fact that one of the parties does not avail itself of the application of any obligation under the contract, whether permanently or temporarily, shall not be construed as a waiver by that party of its rights under the said obligation whose non-application has been tolerated.
